These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and CertPractice AI ("Company," "we," "us," or "our") governing your access to and use of the CertPractice AI platform, website, mobile applications, and all associated services (collectively, the "Service").
BY ACCESSING OR USING THE SERVICE, CREATING AN ACCOUNT, OR CLICKING "CREATE ACCOUNT," YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS IN THEIR ENTIRETY. IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY CEASE USING THE SERVICE.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and all references to "you" include both you individually and that organization.
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on the Service and updating the "Last updated" date. Your continued use of the Service after such notice constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.
CertPractice AI provides an online educational platform offering study materials, AI-generated practice questions, explanations, mock examinations, and interactive AI tutoring designed to assist users in preparing for professional licensing examinations and standardized tests ("Educational Content").
THE SERVICE IS PROVIDED SOLELY FOR EDUCATIONAL AND INFORMATIONAL PURPOSES. THE SERVICE DOES NOT CONSTITUTE PROFESSIONAL ADVICE OF ANY KIND, INCLUDING BUT NOT LIMITED TO LEGAL, FINANCIAL, INVESTMENT, CAREER, MEDICAL, OR REGULATORY ADVICE. NO CONTENT ON THE SERVICE SHOULD BE RELIED UPON AS A SUBSTITUTE FOR PROFESSIONAL CONSULTATION.
We reserve the right to modify, suspend, discontinue, or terminate the Service or any feature thereof at any time, with or without notice, and without liability to you.
You must be at least 13 years of age to use the Service. If you are between 13 and 18 years of age, you represent that you have your parent's or legal guardian's permission to use the Service and that they have reviewed and agreed to these Terms on your behalf.
By using the Service, you represent and warrant that: (a) you are at least 13 years of age; (b) you have the legal capacity to enter into a binding agreement; (c) you are not barred from using the Service under applicable law; and (d) all information you provide to us is accurate and complete.
To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.
You are solely responsible for: (a) maintaining the confidentiality of your account credentials; (b) all activity that occurs under your account; and (c) notifying us immediately at support@certpractice.ai of any unauthorized use of your account or any other security breach.
You may not share your account with any other person. Each account is for a single individual user only. We reserve the right to terminate accounts that we reasonably suspect are being shared or used by multiple individuals.
We are not liable for any loss or damage arising from your failure to maintain the security of your account or for any unauthorized use of your account where such use results from your failure to keep your credentials secure.
Free Tier: Certain features of the Service are available without charge, subject to applicable limitations described on the Service.
Paid Subscriptions: Access to full course content requires a paid subscription. By subscribing, you authorize us (or our payment processor) to charge the applicable subscription fee to your designated payment method on a recurring monthly basis.
Pricing: Subscription fees are displayed on the Service at the time of purchase. We reserve the right to change pricing at any time, with at least 30 days' notice to existing subscribers.
Cancellation: You may cancel your subscription at any time through your account settings or by contacting support@certpractice.ai. Cancellation takes effect at the end of the then-current billing period. You will retain access to paid features through the end of the paid period.
Refunds: ALL SUBSCRIPTION FEES ARE NON-REFUNDABLE EXCEPT AS REQUIRED BY APPLICABLE LAW. We do not provide refunds or credits for partial subscription periods, unused credits, or subscription periods during which you did not use the Service.
Failed Payments: If a payment fails, we may suspend or terminate your access to the paid features of the Service.
Taxes: You are responsible for all applicable taxes assessed in connection with your subscription. We may collect such taxes where required by law.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this Acceptable Use Policy, including removing offending content, suspending or terminating accounts, and reporting to law enforcement authorities.
Our Content: The Service and its entire contents, features, and functionality are owned by or licensed to CertPractice AI and are protected by United States and international copyright, trademark, patent, and other intellectual property laws.
License to You: Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your personal, non-commercial educational purposes.
Restrictions: You may not copy, reproduce, distribute, publish, display, perform, modify, create derivative works from, or otherwise exploit any content from the Service without our express prior written consent.
Your Feedback: If you submit feedback, suggestions, or ideas regarding the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and incorporate such feedback into the Service without any obligation to compensate you.
Portions of the Service, including practice questions, explanations, and tutoring responses, are generated using artificial intelligence and large language models. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:
WE EXPRESSLY DISCLAIM ALL LIABILITY FOR ANY ERRORS, INACCURACIES, OR OMISSIONS IN AI-GENERATED CONTENT AND FOR ANY ACTIONS TAKEN OR NOT TAKEN IN RELIANCE THEREON.
CertPractice AI is an independent educational technology company. We are not affiliated with, sponsored by, endorsed by, or in any way officially connected with FINRA, the Project Management Institute (PMI), the California Department of Real Estate (CA DRE), the Texas Real Estate Commission (TREC), the Washington State Department of Licensing (WA DOL), the College Board, or any other professional licensing authority, examination body, or regulatory agency.
All examination names, trademarks, and registered marks are the property of their respective owners. Use of such names on this platform is for identification and educational reference purposes only and does not imply endorsement.
WE MAKE ABSOLUTELY NO REPRESENTATION, WARRANTY, OR GUARANTEE — EXPRESS, IMPLIED, OR STATUTORY — THAT USE OF THE SERVICE WILL RESULT IN YOU PASSING ANY EXAMINATION, OBTAINING ANY LICENSE OR CERTIFICATION, OR ACHIEVING ANY PARTICULAR SCORE OR OUTCOME.
Examination outcomes depend on many factors entirely outside our control. We are not responsible for any examination failure or inability to obtain licensure, regardless of the amount of time spent using the Service.
The Service may contain links to third-party websites, services, or resources that are not owned or controlled by CertPractice AI. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.
We use third-party services for payment processing, authentication, hosting, and AI generation. Your use of these third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the acts or omissions of any third-party service provider.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CERTCOACH AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, SHAREHOLDERS, AGENTS, LICENSORS, SERVICE PROVIDERS, OR CONTRACTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OF, OR INABILITY TO USE, THE SERVICE.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) FIFTY DOLLARS ($50.00).
You agree to defend, indemnify, and hold harmless CertPractice AI and its officers, directors, employees, shareholders, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to your use of the Service or your violation of these Terms.
Informal Resolution: Before initiating any formal dispute, you agree to first contact us at support@certpractice.ai and attempt to resolve the dispute informally.
Binding Arbitration: If informal resolution fails, you and CertPractice AI agree that any dispute shall be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures. The arbitration shall be conducted in San Mateo County, California, or virtually if agreed.
CLASS ACTION WAIVER: YOU AND CERTCOACH AI AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION.
Opt-Out: You may opt out of this arbitration agreement by sending written notice to support@certpractice.ai within 30 days of first accepting these Terms.
These Terms and your use of the Service shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provisions. For any disputes not subject to arbitration, you and CertPractice AI irrevocably consent to the exclusive personal jurisdiction and venue of the state and federal courts located in San Mateo County, California.
We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, including but not limited to if we reasonably believe you have violated these Terms.
Upon termination: (a) your right to use the Service immediately ceases; (b) we may delete your account and all associated data; and (c) you remain liable for all fees accrued prior to termination.
You may terminate your account at any time by contacting us at support@certpractice.ai. Termination does not entitle you to any refund of prepaid fees.
Entire Agreement: These Terms, together with our Privacy Policy and Disclaimer, constitute the entire agreement between you and CertPractice AI regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
Notices: We may provide notices to you by email, posting on the Service, or other reasonable means. Notices to us must be sent to support@certpractice.ai.
